M&A Transaction Services, as part of the Business Development function in the Group, aims at developing and executing inorganic growth opportunities and extraordinary transactions to meet strategic Company objectives. Activities includes typical corporate development tasks: acquisitions, divestitures and JV deals, venture capital, private equity, minority investments and, if ever requested by any equity transaction, management of intellectual property (including trademark and technology licensing).
The M&A Transaction Services Manager supports the assessment and execution of M&A and other inorganic transaction or investment opportunities across Group Segments. The M&A Transaction Services Manager works collaboratively mainly with Business Units, Technology and Digital, Finance and Legal functions.
Major accountabilities includes:
1. Opportunity scouting and feasibility assessment:
a. Perform industry research activities;
b. Proactively identify key findings from the analysis performed;
c. Collaborate to decision making on projects feasibility by framing complete evaluations, identifying possible deals and alternatives;
d. Coordinate preparation of detailed business cases and documents to Senior Leadership for approval ensuring alignment of all involved functions.
2. Evaluate Target Companies:
a. Assess target, including financial performance and operational fit to Group Business;
b. Support preparation of stand-alone valuation analysis (e.g. DCF, trading and transaction multiples, …) and post integration scenarios;
c. Coordinate due diligences and report key findings;
d. Propose possible transaction structures.
3. Contribute to deal completion and follow-up on executed transactions:
a. Define and follow up action plans with project’s team members to ensure on-time deliverables;
b. Prepare deal negotiations and contracts together with Legal department and all involved functions;
c. Coordinate execution of transactions across Group Business Units, involved functions and advisors;
d. Support evolution of partnerships and alliances, in case of material events affecting the core elements of existing set-up / agreements.
4. Prepare Periodic M&A Transaction Services Updates
a. Collect and prioritize requirements of Group Business Units and Technology & Digital functions for inorganic growth opportunities;
b. Regularly update Senior Leadership about M&A Transaction Services pipeline and status of related projects.
