Senior Corporate Officer – In-House

Client Description:

This is an excellent opportunity to join a growing Investment Management part of a prestigious international firm. Located in the heart of the city centre of Luxembourg, the Investment Management firm is looking to hire a Senior Corporate Officer.

The Senior Corporate Officer will report to the Legal & Corporate Heads and the Corporate Manager leading the team.

Responsibilities:

• Supervise the work of junior professionals
• Planning the organization of quarterly board meetings for the portfolio companies,
• Ensuring that other board meetings of the portfolio companies be timely held and adequately documented
• According to the complexity, draft/review of minutes of board meetings, shareholders’ meetings, legal agreements to be drafted internally be cohesive and consistent and timely approved, executed and filed
• Supervise & interact with providers (notaries, counsels, advisors, etc.)
• Monitor the timely filing of annual accounts and, more generally, that relevant information/amendments be timely filed with (inter alia) RCS, RBE
• Monitor internal filing and day-to-day administrative tasks for the portfolio companies

Candidate Profile:

• Minimum of 4 to 5 years of experience in a similar position (Corporate Services or Law firm)
• Solid experience working with unregulated entities (SPVs, AIF, PE or Private Debt)
• Fluent in English. Any other language is a strong asset.
