You will be a part of an international, well-reputed, and growing firm within a human-sized team. You will be responsible for supporting the effective and efficient running of the lifecycle of the group subsidiaries and the preparation and coordination of clear and complete documentation for corporate decisions.


  • Ensuring the preparation, organization and coordination of various tasks and actions related to the holding of meetings of the board of directors and other equivalent managing bodies at the Group level in an efficient and proactive manner
  • Advising on and providing for the due observance and compliance to all applicable laws and regulations, as well as the applicable Group policies, necessary for good corporate governance 
  • Develop key relationships with internal stakeholders within the Group
  • Develop key relationships with third party administrators, external counsels, accountants, tax advisors, public administration, banks
  • Assisting with processing incorporation/dissolution/liquidation of subsidiaries
  • Assisting with the drafting and processing of corporate decisions and related documentation for a variety of activities, including legal entity creation, legal entity liquidation, funding, repatriation, directorship, entity name changes and appointment of bank signatories
  • Supporting the financial control, risk, legal & tax function in the deal-closing process
  • Facilitating and providing information and documents for Know Your Customer (KYC) procedures, ensuring that corporate information on governing bodies is updated regularly 

Candidate Profile:

  • Previous work experience in a similar position in Luxembourg (law firms, domiciliation firms, asset management etc.)
  • Strong experience in company secretarial and legal matters with Luxembourg holding companies owning subsidiaries in Luxembourg and other jurisdictions worldwide 
  • University degree in Law
  • Excellent verbal and writing skills in English. Any other languages, in particular French, would be considered as an asset
  • Proactive team player with the ability to work independently to tight deadlines
  • High sense of confidentiality and work ethic
  • Excellent drafting skills
