Client Description:

As a General Counsel, you will provide general legal and regulatory support in the context of the activities of the SIF and assist in fund-related legal and regulatory aspects. You also play a pivotal role in the governance and administration of the companies. 

You will be working in close collaboration with the external service providers and internal teams on any legal, corporate, or compliance activities related to the securitisation company, the special investment fund, and its investments as required.

Responsibilities:

General Responsibilities

  • Primarily acting as trusted general counsel based in Luxembourg you will proactively provide sound and pragmatic counselling, at the same time minimising and mitigating risks
  • Be an active participant in the management and conduct of business while providing expert and strategic legal advice
  • Lead a small team of professionals and provide the necessary guidance, best business practices on legal and corporate matters, to ensure quality standards and efficiency of the team
  • Ensure the correct procedure for the appointment of directors, while supporting and advising on their responsibilities as per the company’s articles of association, the Company Law and government guidelines
  • Create associations of trust and respect with key stakeholders
  • Manage good information flows within the boards and between the senior management and non-executive directors
  • Ensuring that share dealings by directors and persons discharging managerial responsibilities (PDMRs) are regulated in accordance with any applicable share dealing codes
  • Deal with external parties (regulators, external counsel, shareholders, etc), while dealing with complex, significant matters that cut across legal and related business areas
  • Collaborating with the internal audit function to support the board in relation to the assessment of the risks and the risk management process
  • Keep abreast of legislative changes affecting and likely to affect the business
  • Provide ad-hoc support to the business as necessary

Legal and Corporate Administrative

  • You will analyse, draft, review and negotiate a range of legal documentation and participate in legal and compliance projects
  • Offer counsel on a variety of legal issues and advise management on legal risks
  • Acting as secretary organise and record Board of Directors and shareholders’ meetings, ensuring that all regulatory and legal fillings are carried out within the deadlines 
  • Briefing the directors, in particular the chair, of the proceedings at the meeting and advising on procedural matters as necessary
  • Manage various projects and deadlines
  • Administrative management of contracts: filing, scanning, arranging for execution, maintaining the database up to date

Regulatory and Compliance

  • Ensure compliance with the internal controls, statutory regulations, and other formalities, including that of the various stock exchanges and related market authorities
  • Monitor evolutions in the regulatory framework relevant to entities and propose any changes as may be required for entities to be and remain compliant with applicable laws and regulations, including Market Abuse Regulations (MAR) 
  • Liaise with the management team on relevant regulatory matters and act as a primary investor relations contact
  • Draft policies and procedures as may be required to conform with applicable laws and regulations and/or best market practice, ensure these remain up-to-date and assess their adequacy and effectiveness
  • Coordination of communications with the CSSF, stock exchanges and another market regulator
  • Preparation and publication of the annual report

Candidate Profile:

  • Master’s degree in law
  • Experience of at least 10-15 years directly related to the duties and responsibilities specified
  • Excellent knowledge of legal and corporate issues, particularly pertaining to the fund industry in Luxembourg
  • Fluent in English and French
  • Extensive knowledge of Asset Management fund legal matters
  • Ability to develop legal strategy and objectives
  • Ability to predict and prevent legal issues and risks
  • Strong moral and ethical principles
  • Ability to work under pressure, meet tight deadlines, be a self-starter, and work autonomously
  • Excellent judgment and analytical skills
  • Effective communication skills
  • Leadership and management skills
  • Demonstrating a proactive approach and hands-on attitude
