Client Description:

This a great opportunity to join a global asset management company that offers an excellent international environment & work life balance. Located in heart of Luxembourg city center, in this role, you will be highly involved in a variety of tasks and responsibilities dealing with CoSec & Governance topics as well as the coaching and development of young professionals. The CoSec & Governance professional will work closely with other internal corporate & legal experts from the global Real Estate teams.

  • With a Luxembourg & broad European scope, draft legal documentation such as Agendas, PoA’s, board minutes, shareholder agreements etc., dealing in Real Estate & Private Debt funds
  • Coordinate & collaborate with internal (Asset Managers, Legal, etc…) and external stakeholders (Service providers, Law firms, etc…)
  • Coordinate with Executives & Assistants to organise board meetings 
  • Ensure compliance of shareholder agreements, contracts, and legal documentations to Luxembourg’s Corporate Law and internal policies
  • Planning the organisation of quarterly board meetings for the portfolio companies,
  • Ensuring that other board meetings of the portfolio companies be timely held and properly documented
  • Monitor the timely filing of annual accounts and, more generally, that relevant information/amendments be timely filed with (inter alia) RCS, RBE

Candidate Profile:

  • Minimum of 4 to 5 years of experience in a similar position (Corporate Services or Law firm)
  • Solid experience working with unregulated entities (SPVs, AIF, PE or RE)
  • Proficient in Microsoft Office Pack & other day to day digital tools
  • Proactive professional, who is organised and has excellent communication 
  • Fluent in English with German or French being considered a strong asset
