The Corporate Governance professional will work closely with other Governance professionals and worldwide internal legal teams.

Responsibilities:

  • Manage day to day operations of Luxembourg HoldCo’s, dealing in Infrastructure funds
  • Coordinate & collaborate with internal (Asset Managers, Legal, etc…) and external stakeholders (Service providers, Law firms, etc…)
  • Manage distributions, refinancing, restructurings, and more
  • Ensure compliance of shareholder agreements, contracts, and legal documentation to Luxembourg’s Corporate Law and internal policies
  • Planning the organization of quarterly board meetings for the portfolio companies,
  • Ensuring that other board meetings of the portfolio companies be timely held and properly documented
  • Supervise the drafting/review of minutes of board meetings, shareholders’ meetings, legal agreements to be drafted internally to be cohesive and consistent and timely approved, executed and filed
  • Monitor the timely filing of annual accounts and, more generally, that relevant information/amendments be timely filed with (inter alia) RCS, RBE

Candidate Profile:

  • Minimum of 4 to 8 years of experience in a similar position (Corporate Services or Law firm)
  • Solid experience working with unregulated entities (SPVs, AIF, PE or RE)
  • Proactive professional with excellent communication 
  • Fluent in English with any other language being considered a strong asset
